This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Instagram or X. By submitting an Entry, you understand that you are submitting your information to Sponsor. By entering the Sweepstakes, each Eligible Entrant waives, discharges and releases Instagram and X from any and all liability associated with the Sweepstakes. Sweepstakes Name: MoneyLion Dream Vacation Sweepstakes (the “Sweepstakes”).

Sponsor: MoneyLion Technologies Inc. (“Sponsor”), P.O. Box 1547, Sandy, Utah 84091-1547.

Sweepstakes Period: This Sweepstakes begins at 12:00:00 a.m. ET on July 24, 2024 and ends at 11:59:59 p.m. ET on August 9, 2024 (the “Sweepstakes Period”). Sponsor’s computer clock will be the official timekeeper for the Sweepstakes.

The Sweepstakes is subject to all applicable federal, state and local laws and regulations and is void outside the Fifty (50) United States and the District of Columbia (“D.C.”) and wherever prohibited or restricted by law.

Eligibility Requirements: This Sweepstakes is open only to legal residents of the fifty (50) United States and D.C who have reached the age of majority in their states of residence as of the date of entry and have a public Instagram or X account (individually defined as “Eligible Entrant” and collectively defined as “Eligible Entrants”, and, once actually entered into the Sweepstakes, “Entrants”).

The following classes of persons are not eligible to enter the Sweepstakes:

Employees, officers and directors of MoneyLion Technologies Inc. and its respective franchisees, affiliated companies, subsidiaries, distributors, retailers, printers, advertising and promotion agencies, and any and all other companies associated with the design or execution of this Sweepstakes (collectively “Released Parties”), and the members of the immediate families or households of any of the above. “Immediate family members” includes, for purposes of this Sweepstakes, parents (including in-laws), grandparents, siblings (including step-siblings), children (including step-children), grandchildren (including step grand-children) and each of their respective spouses.

How To Enter: Below is the entry method to enter into the Sweepstakes and receive an entry (individually defined as “Entry” and collectively defined as “Entries”). The maximum number of total Entries per Eligible Entrant is one (1) for the entire Sweepstakes.

Automatic Entry Method: To enter, any Eligible Entrant must complete the following requirements during the Sweepstakes Period:

Go to the “Discover” feed on the MoneyLion mobile application or the official MoneyLion account on Instagram or X, “Like” the designated MoneyLion post regarding the Sweepstakes and post a comment describing your dream vacation (collectively, the “Entry Materials”).

ENTRY RESTRICTIONS:

The Eligible Entrant must be at least 18 years old and should either be the only person who appears in the Entry or, if anyone else appears in the Entry, a) they, too, must be at least 18 years old and b) the Eligible Entrant must obtain written permission from that person or those people to include them in the photo, and if Sponsor asks to see the written permissions, the Eligible Entrant must provide them upon request (in the event an Eligible Entrant cannot provide permissions that are satisfactory to Sponsor, in its sole and absolute discretion, Sponsor reserves the right to disqualify the applicable Entry, or seek to secure the releases and clearances for Sponsor’s own benefit, or otherwise allow the applicable Entry to remain in the Sweepstakes).

Entries may not contain, as determined by Sponsor’s sole discretion, any images or materials that:

Are sexually explicit or suggestive; violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; obscene or offensive;
Feature celebrities or public figures;
Promote bigotry, racism, hatred or harm against any group, individual or animal, or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
Promote irresponsible or excessive consumption of alcohol; promotes illegal drugs or the use of legal cannabis or psislocybin mushrooms, tobacco, firearms/weapons/ammunition, gambling, pornography, or any particular political agenda or message;
Defame, misrepresent or contain disparaging remarks about other people, companies or organizations;
Contain trademarks, trade names or copyrighted materials owned by others, except those owned by Sponsor for which Sponsor has provided Eligible Entrant a limited license to use as it relates to this Sweepstakes;
Contain any personal identification, such as license plate numbers, personal names (other than first name), email or street address;
Communicate messages inconsistent with the positive and family and pet friendly images and/or goodwill to which Sponsor wishes to associate; Contain competitive products of Sponsor; and/or
Violate any law or infringes upon rights, including without limitation, privacy, publicity, intellectual property rights, or that constitutes copyright infringement of any other person, company or organization.

By entering the Sweepstakes and submitting an Entry and the Entry Materials, (1) each Entrant grants Sponsor and the Released Parties a worldwide, irrevocable, exclusive, assignable, transferable, unqualified, unrestricted, paid up royalty-free license and right to edit, alter, modify, publish, use, reuse, distribute, display, copy and otherwise exploit the Entry, the Entry Materials or any part thereof (with or without the entrant’s name and city/state), and any materials based thereon or derived therefrom, in any manner and in any media (whether now known or later developed), for any lawful purposes whatsoever (non-commercial or commercial), including, without limitation, for use in the commercial packaging, production of any merchandise to be sold commercially and point-of-sale materials, or for promotion, marketing or advertising of Sponsor, or any Released Party, each of their respective brands and/or products in any medium (whether now or hereafter known) throughout the world in perpetuity without further permission, notification, consideration, or payment to the Entrant, except where prohibited by law. This license expressly includes a right (but not the obligation) for Sponsor to modify the Entry and the Entry Materials or to remove any third-party intellectual property. Sponsor shall have the right, in its sole discretion, to edit, composite, morph, scan, duplicate, or alter the Entry or Entry Materials for any purpose which Sponsor deem(s) necessary or desirable, and Entrant irrevocably waives any and all so-called moral rights they may have therein; and (2) each Entrant warrants and represents that (a) the Entry Materials are entirely the original creation/work of the Entrant and that use of the Entry Materials as described herein will not violate any law or infringe upon the rights, title, claim or interest of any third party; (b) the Entrant is the creator and sole copyright owner of the Entry Materials; (c) the Entry Materials do not incorporate any material owned by any third party; and (d) the use of the Entry Materials as described herein will not violate any law or infringe upon the rights of any third party. If, in the sole discretion of Sponsor, the Entry violates any law or infringes upon the rights of any third party, is inaccurate, incomplete or irregular in any way, or otherwise does not comply with these Official Rules or is deemed inappropriate, the Sponsor may disqualify the Entry. In addition, each Entrant forever waives in favor of Sponsor all rights of “Droit Moral” or “Moral Rights of Authors” or any similar rights or principles of law that may preclude the use of the Entry (or any part thereof) as granted herein or require Entrant’s permission to use the Entry (or any part thereof) for the purposes stated herein. Sponsor reserves the right to request releases from any third parties appearing in any Entries or any further releases, which may be required from Entrant. Failure to produce third party releases upon Sponsor’s request may result in disqualification, as determined by Sponsor, is its sole and absolute discretion.

By submitting an Entry, each Entrant consents to receive from the Sponsor a direct message on the MoneyLion mobile application, Instagram or X with the Entrant’s Vacation Image. Eligible Entrants will be required to have a public Instagram account or a public X account to receive a direct message. Entries posted by an Instagram account or X account that is not public will be disqualified.

Each Eligible Entrant can receive up to a maximum of one (1) Entry though the Sweepstakes. Each Eligible Entrant must submit an Entry on their own behalf. Any Entry submitted on behalf of another individual or using another person’s account information will be disqualified and ineligible to claim any prize. Limit one (1) Entry per person, regardless of the number of MoneyLion accounts, Instagram accounts and/or X accounts the Eligible Entrant uses. Use of automated entry or similar devices as defined herein but not limited to, aggregator sites and or provided links, or contracted services, which are used to participate, “game” or subvert the Entry process is prohibited and all postings submitted or otherwise effectuated through such devices are void and will not be honored in any way. Persons found tampering with or abusing any aspect of the Sweepstakes, or whom Sponsor believes to be causing malfunction, error, fraudulent activity of any kind, disruption or damage will be disqualified from the Sweepstakes. Sponsor reserves the right to void any Entry that is posted through robotic, automatic, mechanical, programmed or similar duplication method, or posted through any third-party website, and to disqualify any Entrant using such a method. Sponsor is not responsible for any lost, late, stolen, delayed, illegible, incomplete, mutilated, mis-addressed or misdirected Entries. Incomplete, inaccurate, unintelligible or late Entries submitted which otherwise do not comply with these Official Rules will be deemed void. All Entries become the property of the Entries at its sole discretion. Submitting your Entry, constitutes your consent to participate in this Sweepstakes and your consent for Sponsor to contact you for the purpose of administering this Sweepstakes and for other uses by Sponsor as permitted by these Official Rules and by applicable law.

The Released Parties are not responsible for any problems or technical, hardware, or software malfunctions of any network or telephone lines, failed, incorrect, inaccurate, incomplete, garbled or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or utilized in this Sweepstakes, computer online systems, servers or providers, computer or other electronic equipment, software, failure of any e-mail or Entry to be received by the Sponsor due to technical problems, human error or traffic congestion, unavailable network connections on the Internet or at any social media site, or any combination thereof, including, without limitation, any injury or damage to Entrant or any other person’s computer or other electronic device relating to or resulting from participating in this Sweepstakes or uploading/downloading any materials in connection with this Sweepstakes. By submitting an Entry, each Entrant agrees to abide by the terms of these Official Rules.

BY ENTERING THIS SWEEPSTAKES AND SUBMITTING AN ENTRY:

YOU CONSENT TO THE INPUTTING OF YOUR ENTRY MATERIALS INTO SPONSOR-APPROVED GEN AI TOOLS, WHERE SUCH ENTRY MATERIALS MAY BE EDITED, MODIFIED, ALTERED OR MANIPULATED AND UNDERSTAND THAT YOUR CONSENT TO USE OF GEN AI TOOLS IS AT YOUR OWN RISK. IN NO EVENT SHALL SPONSOR BE LIABLE UNDER ANY THEORY OF TORT, CONTRACT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY DIRECT DAMAGES AND/OR ANY OTHER DAMAGES RESULTING FROM THE USE OF THE GEN AI TOOLS IN CONNECTION WITH THE SWEEPSTAKES.
YOU UNDERSTAND AND AGREE THAT YOUR ENTRY MATERIALS MAY BE INCLUDED IN SPONSOR’S COMMERCIAL MATERIAL, AS WELL AS AT SPONSOR’S WEBSITE OR SOCIAL MEDIA PLATFORMS ASSOCIATED WITH SPONSOR OR ANY OTHER MEDIA IN ITS SOLE DISCRETION.
YOU UNDERSTAND THAT YOU SHALL HAVE NO RIGHT TO REVIEW OR APPROVE ANY FURTHER USE OF YOUR ENTRY MATERIALS BY SPONSOR, AND THAT SPONSOR MAY EDIT OR ALTER THE MATERIALS, OR JUXTAPOSE THE ENTRY MATERIALS WITH OTHER MATERIALS, IN SPONSOR’S SOLE DISCRETION, AND THAT SPONSOR HAS NO LIABILITY TO YOU FOR EDITING OR ALTERATION OF THE ENTRY MATERIALS, OR FOR OTHER EFFECTS RESULTING FROM THE EDITING, ALTERATION OR USE OF THE ENTRY MATERIALS.
YOU UNDERSTAND AND AGREE THAT SPONSOR HAS NO OBLIGATION TO USE OR POST ANY ENTRY SUBMITTED BY ANY ENTRANT AND THAT THE USE OF AN ENTRY BY SPONSOR OR ANY OF THE RELEASED PARTIES DOES NOT HAVE ANY EFFECT ON THE WINNER SELECTION PROCESS.

Use of a mobile device to participate in this Sweepstakes is not required. If you use a mobile device to post an Entry, message and data rates may apply, and Eligible Entrants will be solely responsible for any and all applicable charges. Please consult your wireless-service provider regarding its pricing plans.

DIGITAL MILLENNIUM COPYRIGHT ACT: Once an Entry is submitted into the Sweepstakes, any such posting will be deemed made at the direction of the Entrant within the meaning of the Digital Millennium Copyright Act and the Communications Decency Act. EACH ENTRANT REPRESENTS, UNDERSTANDS AND ACKNOWLEDGES THAT HE/SHE WILL NOT BE PAID FOR OR RECEIVE ANY FORM OF COMPENSATION OR ROYALTY (OTHER THAN THE PRIZE STATED HEREIN IF SELECTED AS A PRIZE WINNER) IN EXCHANGE FOR GRANTING SPONSOR THE NON-EXCLUSIVE LICENSE RIGHTS OR FOR ANY SUBSEQUENT USE OF SUCH ENTRY BY SPONSOR. If requested, Entrant will sign any documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights Eligible Entrant is granting to use the Entry.

In the event of a dispute as to a specific Entry, the authorized account holder will be deemed to be the Eligible Entrant and he/she must be eligible according to these Official Rules.

By submitting an Entry, the Entrant agrees that Sponsor and its Released Parties are authorized to contact entrant via email, by physical mail, telephone, or any other form of communication to make entrant aware of information pertinent to the Sweepstakes. By submitting an Entry, the Entrant also agrees to receive marketing materials or information regarding Sponsor’s featured product(s), special events or promotional offers, or purchase incentives through email or physical mail from Sponsor or its agents. Entrants may opt out of further email communication at any time by clicking on the “unsubscribe” link located in the footer of promotional emails from Sponsor.

All information submitted by an Entrant will be treated according to Sponsor’s Privacy Policy, available at www.moneylion.com/privacy-notice. By participating in the Sweepstakes, Entrants agree to Sponsor’s collection and use of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy.

Random Drawing/Selection of One (1) Grand Prize Winner: Sponsor will select one (1) Entry in a random drawing from among all eligible Entries received during the Sweepstakes Period on or about August 12, 2024 (“Random Drawing”). The Random Drawing will be conducted by PCG365, the Sweepstakes Administrator, whose decisions in all matters relating to this Sweepstakes are final.

Odds: The Odds of winning will depend upon the number of eligible Entries received during the Sweepstakes Period.

One (1) Grand Prize: One (1) winner (“Winner”) will receive one (1) check made payable to the Grand Prize Winner’s order in the amount of ten thousand dollars ($10,000) (“Grand Prize”). The actual value of the Grand Prize: $10,000. Grand Prize cannot be substituted, transferred or assigned.

By accepting the Grand Prize, Winner agrees to release Sponsor and the Released Parties, and each of their respective directors, officers, employees, representatives and agents, from any and all liability whatsoever for any injuries, losses, or damages of any kind by entering the Sweepstakes or for damages of any kind caused by the Grand Prize or resulting from acceptance, possession, or use/misuse of the Grand Prize awarded. All local, state and federal taxes are solely the responsibility of the Winner. An IRS form 1099 will be issued as required by law. Winner will be required to complete and sign an Affidavit of Eligibility and Liability/Publicity Release form and an IRS W9 Form provided to them to be returned within five (5) business days of written notification, or the Grand Prize will be forfeited and, at Sponsor’s discretion, an alternate Winner selected in an alternate Random Drawing from among all remaining Entries. If the potential Winner fails to respond to the Sponsor’s notification within five (5) business days of the initial contact by Sponsor, then such person will be disqualified and an alternate Winner will be selected from among all remaining Entries to award the Grand Prize.

Additional Rules & Restrictions: By participating in this Sweepstakes, Entrants agree to abide by and be bound by the Official Rules, and the decisions of the Sponsor shall be final in all matters relating to this Sweepstakes. If an entrant wins the Grand Prize and is later to be found to be in violation of these Official Rules, he/she will be required to forfeit the Grand Prize or to reimburse Sponsor for the stated value of the Grand Prize if the violation is discovered after the Grand Prize Winner has used the Grand Prize.

By accepting the Grand Prize, where permitted by law, Winner grants to the Sponsor, its parents, subsidiaries, and related companies, and those acting pursuant to the authority of the Sponsor, a revocable, perpetual right to print, publish, broadcast, and use worldwide IN ALL MEDIA without limitation at any time the Winner’s name and Entry and/or likeness for advertising, trade and promotional purposes without limitation or further compensation, and without review, approval or notification, unless prohibited by law. Grand Prize Winner may revoke this license and opt out of any such further use by calling 1-888-704-6970 or by emailing Sponsor at [email protected], except that such opt out shall not apply to any uses that were already publicly disseminated (including on MoneyLion websites or the MoneyLion mobile app) prior to the Winner’s exercise of this opt out right. IN NO EVENT WILL SPONSOR, THE RELEASED PARTIES AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES AND AGENTS BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND (INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES) ARISING OUT OF PARTICIPATION IN THIS SWEEPSTAKES OR THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF, OR ANY HARM RESULTING FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE GRAND PRIZE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH STATES LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY LAW. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF THIS SECTION MAY NOT APPLY TO YOU. By participating, Entrants release and agree to hold harmless the Sponsor, the Released Parties and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, death or losses or damages to persons or property AS WELL AS CLAIMS/ACTIONS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY that may arise from participating in this Sweepstakes or its related activities or the acceptance, possession, use or of, or any harm resulting from the acceptance, possession, use of misuse of the Grand Prize. Winner acknowledges that Sponsor has neither made nor is in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relating to the Grand Prize. Sponsor may disqualify Entrant’s Entry if he/she is deemed to have violated these Official Rules. In the event this Sweepstakes is compromised by virus, bugs, worms, non-authorized human intervention or other causes which corrupt or impair the administration, security, fairness or proper play of this Sweepstakes, or if this Sweepstakes is unable to run as planned for any other reason, Sponsor reserves the right in its sole discretion to modify, suspend or terminate this Sweepstakes or any portion thereof and/or terminate the participation of any entrant (and void his/her Entry) whose conduct potentially compromises this Sweepstakes and at its sole discretion, if terminated, to award the Grand Prize from among all eligible non-suspect Entries received prior to the act requiring such termination. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

DISPUTES: EXCEPT WHERE PROHIBITED BY LAW, AS A CONDITION OF PARTICIPATING IN THIS SWEEPSTAKES, YOU AGREE THAT (A) UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN AWARDS FOR, AND YOU HEREBY WAIVE ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT OF POCKET EXPENSES, IF ANY; AND (B) YOU ACKNOWLEDGE THAT, UNLESS YOU HAVE OPTED OUT, THE DISPUTES AGREEMENT TO WHICH YOU ARE ALREADY A PARTY EXTENDS TO THESE OFFICIAL RULES, AND THE DEFINITION OF “CLAIM” INCLUDES ALL CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS SWEEPSTAKES OR ANY COMPENSATION OR CREDIT TO BE PROVIDED.

Residents of Vermont may exclude return postage.
